預(yù)付款保函

我們已經(jīng)得知，________（以下稱“委托人”）為你方上述合同的承包商并希望收到一筆預(yù)付款，合同要求他為該預(yù)付款開具保函。

應(yīng)委托人要求，我們________（填入銀行名稱）在此不可撤銷地保證，在我方收到你方書面要求及說(shuō)明下列情況的書面聲明后，向你方受益人／雇主支付總數(shù)不超過(guò)________（即“保函金額”為：________）的一筆或多筆款額：委托人未能按照合同條件返還預(yù)付款，以及委托人未返還的數(shù)額。

本保函在委托人收到（首期）預(yù)付款后立即生效。上述保函金額將減去返還給你方的預(yù)付款數(shù)額，該數(shù)額為你方按照合同條件第14.6款發(fā)出的通知所證明的數(shù)額。收到（委托人提交的）每份表示該意圖的通知后，我們會(huì)立即將作出相應(yīng)修改的保函金額通知你方。

要求支付的文件必須有你方簽名，簽名必須經(jīng)過(guò)你方銀行或公證人所證實(shí)。你方經(jīng)證實(shí)的要求和聲明必須由我們辦公室，于________（預(yù)計(jì)的竣工時(shí)間期滿后70天的那一日）當(dāng)日（即“到期日”）或之前收到。在該日期之后，本保函期滿并應(yīng)返還給我們。

我們已經(jīng)得知，如果在上述到期日前28天還未返還預(yù)付款，則受益人可以要求委托人將此保函延期。如果你方書面要求并書面聲明預(yù)付款還未返還，且此保函還未得到延期，我們?cè)谑盏侥惴綍嬉蠛蜁媛暶骱笤诖?8天期間內(nèi)，將立即支付保函金額。

除上文規(guī)定外，本保函的適用法律為________，并受國(guó)際商會(huì)出版的編號(hào)為458的“即付保函的統(tǒng)一規(guī)則”的約束。

PERFORMANCE SECURITY-SURETY BOND

Brief description of Contract:

(together with successors and assigns, all as defined in the Contract as the Employer)

By this Bond, (name and address of contractor)________(who is the contractor under such Contract) as Principal and (name and address of guarantor)________________as Guarantor are irrevocably held and firmly bound to the Beneficiary in the total amount of________(the "Bond Amount", say:________) for the due performance of all such Principal's obligations and liabilities under the Contract. (Such Bond Amount shall be reduced by________% upon the issue of the taking-over certificate for the whole of the works under clause 10 of the Conditions of the Contract.)

This Bond shall become effective on the Commencement Date defined in the Contract.

Upon Default by the Principal to perform any Contractual Obligation, or upon the occurrence of any of the events and circumstances listed in sub-clause 15.2 of the conditions of the Contract, the guarantor shall satisfy and discharge the damages sustained by the Beneficiary due to such Default, event or circumstances. However, the total liability of the Guarantor shall not exceed the Bond Amount.

The obligations and liabilities of the Guarantor shall not be discharged by any allowance of time or other indulgence whatsoever by the Beneficiary to the Principal, or by any variation or suspension of the works to be executed under the Contract, or by any amendments to the Contract or to the constitution of the Principal or the Beneficiary, or by any other matters, whether with or without the knowledge or consent of the Guarantor.

Any claim under this bond must be received by the Guarantor on or before (the date six months after the expected expiry of the Defects Notification Period for the Works)________(the "Expiry Date"), when this Bond shall expire and shall be returned to the Guarantor.

The benefit of this Bond may be assigned subject to the provisions for assignment of the Contract, and subject to the receipt by the guarantor of evidence of full compliance with such provisions.

This Bond shall be governed by the law of the same country (or other jurisdiction) as that which governs the Contract. This Bond incorporates and shall be subject to the Uniform Rules for Contract Bonds, published as number 524 by the international chamber of Commerce, and words used in this Bond shall bear the meanings set out in such Rules.
