職場心經(jīng)

商務(wù)談判中,交易達(dá)成后,通常由一方草擬書面合同,經(jīng)雙方核對(duì)無誤并簽字。各執(zhí)正本一份,據(jù)此執(zhí)行。合同中的內(nèi)容比較全面,除商品的名稱、規(guī)格、包裝、單價(jià)、裝運(yùn)港和目的港、交貨期、付款方式、運(yùn)輸標(biāo)志、商品檢驗(yàn)等條件外,還有異議索賠、仲裁、不可抗力等條件。

買賣雙方其中之一在起草相應(yīng)的合同書后,雙方應(yīng)一同回顧及商討合同草案的所有細(xì)節(jié),檢查是否有誤或是歧義。

keep one's words表示“遵守諾言”,與其形似的keep one's promise指“履行諾言”。

合同一旦確定就應(yīng)嚴(yán)格執(zhí)行。

當(dāng)草擬合同的時(shí)候你會(huì)說

draw up表示的是“起草”的意思,雖然只是準(zhǔn)備合同草案,但同樣要認(rèn)真對(duì)待,不可掉以輕心。

2.We will have the contract ready in a couple of days.

我們這幾天就可以把合同準(zhǔn)備好。

3.Let us talk about the schedule for the contract.

A:This contract will come into force as soon as two parties sign it.

carry out表示“貫徹;執(zhí)行”,其后一般接plan, contract等名詞。

合同條款

A:Does what it say in this article mean that the warranty is invalid in the third year?

這個(gè)條款是不是說,保修期到第三年就失效?

B:If one side fails to honor the contract, the other side is entitled to cancel it.

如果一方未按本合同的條款執(zhí)行,另一方有權(quán)終止合同。

run over表示的意思是“匆匆地看;檢查”,合同事關(guān)自己的切身利益,一字一句都應(yīng)該慎重對(duì)待。

put it down在此處的意思是“寫下來”相當(dāng)于我們常用的write it down。

場景應(yīng)用

凱特要為陽光貿(mào)易公司起草一份合同,但這不是她的強(qiáng)項(xiàng)。專家級(jí)別的金先生及時(shí)出現(xiàn),解了凱特的燃眉之急。

A:Kate, how is your work going?

B:Oh, Mr. King, I am quite busy these days as I am in charge of drafting a contract for Sunshine Business Corporation.

A:Then you have to take into consideration many details so as to ensure the contract will work well.

B:That's true. I know that you are experienced in this aspect; would you please give me some suggestions?

A:Sure. I think at the very beginning, you'd better ask your client to list the deal points. This can be in the form of a list, outline or narration, and engage your client in "what if" scenarios. A good contract will anticipate many possible factual situations and express the parties' understanding in case those facts arise. In fact, talking to your client about this will generate many issues you may not otherwise consider.

B:I never thought there should be so many things to be considered at the preliminary stage, and if you think of anything else, please let me know as soon as possible. I don't want to back to square on with the work.

A:Okay.

A:沒問題。

back to square on退回起點(diǎn),從頭再來

該習(xí)語源自擲色子的游戲。當(dāng)擲出某個(gè)特定的號(hào)碼時(shí)要受罰,并且還要重新再擲。該習(xí)語即指“無所進(jìn)展,退回起點(diǎn),進(jìn)而從頭再來”。例如:I'm back to square on with the work.(我的工作又得從頭做起。)

該習(xí)語的字面意思是“午夜仍點(diǎn)油燈(照明,學(xué)習(xí)或工作)”,即“開夜車,學(xué)習(xí)或工作到深夜”。例如:You look sleepy. Have you been burning the midnight oil recently?你看上去沒什么精神,最近是不是都在熬夜工作?。?/p>
